Terms of Service | Food Arb

1. Agreement to Terms

By accessing or using Food Arb (the "Service"), operated by XPRV OÜ ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and XPRV OÜ.

2. Description of Service

Food Arb is a grocery price comparison and arbitrage intelligence platform for the New York City metropolitan area. The Service aggregates publicly available price information and allows users to compare grocery prices across participating retail locations. Food Arb is not affiliated with, endorsed by, or sponsored by any retail chain or grocery store referenced in the Service.

All price data is provided for informational purposes only. Prices shown may differ from in-store prices due to promotions, inventory changes, regional differences, or data delays. Always verify prices at the store before purchase.

3. Eligibility and Accounts

You must be at least 18 years old to create an account. By creating an account, you represent that all information you provide is accurate and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we determine, in our sole discretion, are being used for prohibited purposes.

4. Subscription and Billing

Food Arb offers both free and paid subscription tiers. Paid subscriptions are billed in advance on a monthly or annual basis. Subscription fees are non-refundable except as required by applicable law or as expressly stated in our Refund Policy.

We reserve the right to change subscription pricing with 30 days' notice. Your continued use of the Service after a price change constitutes your acceptance of the new pricing. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

Payment processing is handled by Stripe, Inc. By providing payment information, you authorize us to charge the applicable fees to your payment method. XPRV OÜ does not store your full payment card details.

5. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable law or regulation
Scrape, crawl, or otherwise extract data from the Service in bulk without express written permission
Reverse engineer, decompile, or disassemble any portion of the Service
Attempt to gain unauthorized access to any systems or networks connected to the Service
Transmit viruses, malware, or other harmful code
Misrepresent your identity or affiliation with any person or organization
Use the Service to compete directly with Food Arb without our prior written consent

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of XPRV OÜ. Our trademarks, trade dress, and logos may not be used in connection with any product or service without our prior written consent.

Publicly available price data aggregated by the Service originates from third-party sources and remains subject to the intellectual property rights of those respective sources.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. PRICE DATA MAY BE INACCURATE, INCOMPLETE, OR OUT OF DATE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, XPRV OÜ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $50 USD.

9. Indemnification

You agree to indemnify, defend, and hold harmless XPRV OÜ and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another.

10. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Estonia (the jurisdiction of incorporation of XPRV OÜ), without regard to its conflict of law provisions. Any disputes arising under these Terms shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under the rules of the Estonian Chamber of Commerce and Industry.

Notwithstanding the foregoing, users in the United States may also have rights under applicable U.S. federal and state consumer protection laws.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice within the Service at least 14 days before taking effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
